2. Investors were kept informed - We have created this online Investor site to keep investors informed. This site will be updated on a quarterly basis to keep Investors informed of our progress and the current value of XYMOGEN® Shares. The current valuation, as of June 30, 2010, is $40.40 per share. Shares are re-valued at the end of each quarter and posted on the 15th of the following month; i.e., January 15, April 15, July 15 and October 15.

3. New investors were cultivated by us and by other investors - XYMOGEN® will continually maintain information about the advantages an investment in XYMOGEN® represents.

4. There were no surprises, disappointments or unkept promises - We have met or exceeded most all of our sales projections. Capital raised through this Offering will likely propel XYMOGEN® to unprecedented growth as we expand regionally and bring to market our Board of Advisors "Pipeline of Formulas."

5. We always raised money well in advance of need - This coupled with our 3 Million Dollar Line-of-Credit has provided XYMOGEN® the capital to accomplish our current pace of 32 Million Dollars in revenue for 2010.
